    Company Secretary Administrator Job Description

    The Company Secretary Administrator role at ADvTECH is designed to manage the company secretarial activities, particularly focusing on CIPC (Companies and Intellectual Property Commission) tasks. This position is critical for ensuring the Group Company Secretariat/Legal department complies with statutory requirements, maintaining precise, timely, and secure corporate documents and records. Additionally, this role provides general administrative support to the Group Company Secretary and assists with meeting and travel arrangements.

    Key Responsibilities

    CIPC Administration

    • Attend to the Group’s information provision compliance requirements with the CIPC through the portal.
    • Prepare and submit annual returns and file them for safekeeping.
    • Maintain up-to-date Beneficial Ownership/Interest Registers.
    • Record and update registrations and changes in directors, auditors, and committee memberships promptly.

    Documentation & Record Keeping

    • Prepare and circulate annual director disclosures (conflict of interest and independency declarations) and ensure the documents are completed and stored properly.
    • Distribute meeting documents, resolutions, and other communications via Diligent Boards/Boardpac.
    • Distribute and follow up on resolutions of subsidiary companies for signatures.
    • File and maintain statutory records (minutes, resolutions, etc.) securely and ensure accessibility.
    • Collate documents and retain records in compliance with FICA and KYC requirements for the group of companies.

    Office Support

    • Arrange travel, car rentals, and accommodation for the Company Secretarial and Group Legal department according to company policies.
    • Obtain invoice sign-offs and submit for payment via D365 for Group Legal and Company Secretariat departments.
    • Manage incoming and outgoing post and liaise with couriers.
    • Arrange meetings, including booking board rooms, catering, and equipment.
    • Handle correspondence and regulatory filings with appropriate authorities.
    • Provide administrative support to the Group Company Secretary as required.

    Compliance and Technological Support

    • Administer systems to ensure the company complies with all applicable codes and regulations.
    • Initiate technological support and assistance when problems arise.
    • Assist with administrative matters and issues related to corporate governance and compliance.

    Requirements

    • Matric/Grade 12.
    • Studying towards a Company Secretarial diploma or a similar tertiary qualification.

    Skills and Competencies

    • Strong attention to detail and organizational skills.
    • Excellent communication and interpersonal abilities.
    • Proficiency in using computer software and online portals (e.g., CIPC portal, D365, Diligent Boards/Boardpac).
    • Ability to manage multiple tasks and meet deadlines.
    • Knowledge of corporate governance and compliance requirements.

    Experience

    • Entry-level position; prior experience in a similar role or in administrative support is advantageous but not mandatory.
